Terms of Service

By accessing this website or engaging TechXellent for services, you agree to be bound by these Terms of Service and all applicable laws and regulations of the Kingdom of Saudi Arabia.

If you do not agree with any part of these terms, you may not use this website or engage our services. These terms apply to all visitors, leads, clients, and parties interacting with TechXellent.

TechXellent provides business-to-business (B2B) technology services including, but not limited to:

— Foodics implementation and configuration — ERP implementation and customisation — System and platform integration — Digital foundation setup (domains, email, infrastructure) — Quality assurance and go-live support — Website and mobile application development — E-commerce store setup

The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate Statement of Work or Service Agreement, which supersedes these general terms where there is a conflict.

Clients engaging TechXellent agree to:

— Provide accurate, complete, and timely information required for the engagement — Make relevant personnel available for requirements gathering, reviews, and training — Obtain necessary licences and permissions for third-party systems (e.g. ERP, Foodics subscriptions) — Maintain appropriate data backups prior to system migrations — Review and approve deliverables within agreed timelines

Delays caused by the client's failure to fulfil these responsibilities may affect project timelines and are not the liability of TechXellent.

Unless otherwise agreed in writing:

— All deliverables created specifically for a client engagement become the client's property upon full payment — Pre-existing tools, frameworks, methodologies, and templates used in delivery remain the intellectual property of TechXellent — Content on this website — including text, graphics, and structure — is the property of TechXellent and may not be reproduced without written permission

Any third-party software or platforms used in a solution remain subject to their respective licence agreements.

TechXellent's liability for any claim arising from services rendered is limited to the fees paid for the specific engagement giving rise to the claim.

TechXellent is not liable for:

— Indirect, incidental, or consequential damages — Loss of revenue or business opportunity arising from system downtime or implementation delays — Third-party platform failures, outages, or licence changes (e.g. Foodics, ERP vendors) — Data loss where the client has not maintained appropriate backups

This limitation applies to the fullest extent permitted by applicable Saudi law.

Both parties agree to keep confidential any non-public business information, technical specifications, financial data, and client details shared during an engagement.

This obligation survives termination of any agreement for a period of three (3) years. TechXellent will not disclose client information to third parties without written consent, except where required by law or to service providers bound by equivalent confidentiality obligations.

These terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these terms or any engagement with TechXellent shall be subject to the exclusive jurisdiction of the courts of Jeddah, Saudi Arabia.

For clients outside the Kingdom, international disputes may be referred to arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA).

TechXellent reserves the right to update these terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.

For active client engagements, material changes to agreed terms require written mutual consent.
